Delta Sold!

Evening all,

All I heard from various people in the ww'ing business today was, "Guess who
Pentair sold Delta too?".

To the first person, I jokingly replied, "Ryobi", who responded with, "Ah,
you heard". Holy crap, no I didn't hear, are you serious?

Sigh... Another tool company bites the dust.

Buy your Delta tools now, before they get totally flushed down the drain....

Thanks,

David.

Every neighbourhood has one, in mine, I'm him.

Remove the "splinter" from my email address to email me.

Oddly enough, the only Delta tools I own are a 1950 unisaw, a 1972
delta/rockwell jointer, and a 1995 delta tenon jig which I still have never
used. I don't think I'll miss this sale too much. However, I do feel bad
for Norm.

The problem I have had with Ryobi products is poor availability of replacement
parts. However, I recently needed two switches for Ryobi 18 volt drills and was
pleased to find the switches and parts for many Ryobi products are available at
Ordertree.com. Had the parts in four days. Reasonable price too.

I was a Homelite sevice dealer from '84 to '89. Homelite was a dying company
at that time. Funny to see how a company that was big on chain saws now only
sells three differant models! The line has been cut to the bones. I am
surprised that the construction site de-watering pumps are still around.

All my Delta stuff is early '90s back to the '50s, too. The big thing I'd be
worried about is parts and tech support. Ryobi's is ghastly. Also, when
Techtronics (Ryobi's parent) bought Homelite a while ago, all the product
information and parts more than 10 or so years old dissapeared.

Okay, it isn't Delta, but I had to replace a part or two on
a PC 557 which accidentally dropped onto my concrete garage/shop
floor. [Ouch!]

Come to think of it, NO!

What I would need to eventually replace is actually pretty standard
stuff, such as motors, switches, knives, blades, or belts.

Great point.

There's a huge difference. Delta is legendary for its parts supply.
The BT3K has been around for what, a dozen years? Big deal having
parts available that long. I've heard that Delta can still supply
parts for tools built in the '40s.

I have a 1950s Model 100 Craftsman saw. I doubt there's a single part
on it I could get replaced (if I wanted to; I have a Unisaw coming
Thursday) other than a standard hardware store nut or bolt. You can
expect Sears will stand behind that Ryobi stuff just as well.

It may still happen, but given that the corporations involved have made
no announcements, all this remains is a rumor. Given the various SEC laws
regarding these kinds of transactions, it is highly unlikely that an
employee of a customer of one of those companies would be the first to
start spreading the word.

Having had first-hand experience with being acquired by a different
company, it is one thing to know that your division is on the block, it is
entirely another thing to know who is actually buying that division.

I see no evidence of a sale. Look at the SEC filings, and the recent
trading history of Pentair.

I see that Pentair seems to want to sell the Tools Group but that
doesn't mean they have a qualified buyer.

That's the point. :-)

Delta used to be Rockwell, now it's Delta. The line may survive another

land is entirely different. Who knows what lies ahead.

Yahoo Finance has the latest Pentair
SEC filing
http://biz.yahoo.com/e/040510/pnr10-q.html

This is a quote from that filing:

On March 16, 2004 we finalized an $850 million committed line of
credit (the "Bridge Facility"). The Bridge Facility is available for a
period up to the earlier of (i) September 1, 2004, (ii) the closing of
the WICOR acquisition without the use of the Bridge Facility or (iii)
the sale of the Pentair Tools Group.

I'm not saying this isn't true, but there is no mention of a sale on
Pentair's, Ryobi's, or MSNBC's Business websites. It did mention
Pentair announced a 2 for 1 stock split, but nothing else.

Actually (listens for the sighing/wailing/gnashing of teeth
sound from anyone who has sat through one of these "beget"
sessions), it goes like this.

Herbert Tautz started Delta Specialty at the end of the
20's. He changed the name to Delta Manufacturing Company in
the 30's.

In 1939 Tautz sold Delta to Timken Detroit Axle/Pittsburgh
Equitable Meter (the beginning of the end).

Timken Detroit Axle/Pittsburgh Equitable Meter morphed
itself into a name change, Rockwell Manufacturing.

Rockwell Manufacturing changed the name to Delta Milwaukee
in the early 40's.

After 1952 Rockwell manufacturing changed the name to Delta
Rockwell onna 'count of there was no Milwaukee anymore (a
continuation of the beginning of the end).

In 1974 Rockwell Manufacturing morphed itself into a name
change/restructuring/general all-around corporate silliness
and became Rockwell International. Rockwell International
did everything in there powers (and they were powerful) to
make the machine line fail.

In 1984 Rockwell International sold the machine line to
Penthair and they, Penthair, changed the name to Delta
Woodworking Machinery.

Penthair has maintained Delta, limped it along (lost Bob
Kummer to Jet, who then set about to eat Delta's lunch) and
generally, by some people's account, Penthair AMF'd Delta up
till today.

So, technically, Penthair is only the third owner of Delta.

Here is another quote from that filing (emphasis added)

"The term loan to be made under the Bridge Facility (the "Loan") is
for the purpose of payment of the purchase price and related fees and
expenses upon closing of the WICOR acquisition. The closing of the
Loan must occur before September 1, 2004. Any balance due under the
Loan is repayable in full, with accrued interest, no later than
December 31, 2004. We will need to fund the repayment of the Bridge
Facility BY DECEMBER 31,2004 through a DISPOSITION OF OUR TOOLS GROUP

I don't think so, at least not this time.

That rumor's been flying around for a while, and considering David works for
a Delta dealer, he'd be one of the first to spread the word.

Well, it's a darn good thing all I need is a planer, and I already have my
sights set on a Woodmaster 718, so Delta/Ryobi can KMA. Time to step up the
search for the vintage stuff.

Anybody wanna buy a Delta 31-250 drum sander? Ping me via email.

According to the Skil web site "Skil Power Tools are products of the Robert

What ever gave you _that_ idea? Emerson's sales in a good year are a third
those of Bosch, and Skil was a small division of Emerson. The 1998 Emerson
annual report states clearly that Emerson's interest in Skil was sold to
Bosch.

FWIW, they pretty much accomplished the same favor for North American
Aviation, of P-51 Mustang and F-86 Sabre fame. Although they did manage to
produce a few space shuttles in the process, whose service record has been
far from dazzling. They seem to belong to the school of management that
believes that the best use for a cash cow is to be served for lunch.

The buzz in da bidness has been that Ryobi's parent company was looking to buy
the Delta/PC business that Pentair wanted to peel off, because, evidently, it
has not been meeting their business growth expectations. Profit growth, that
is.

I've been favorably impressed with some of the tools Ryobi is making for
Ridgid/Home Depot, so there's a strong possibility this union, if David's
report is correct, will benefit the consumer---maybe they'll return to the days
of yore and ship the Unisaw with a heavy steel strap on the motor to eliminate
trunnion breakage!

I was quite impressed with the Craftsman 315.228390 table saw (made by
Ryobi) complete with cast iron router table extension and dolly's,
particularly considering the price. I purchased the thing "tongue in cheek"
thinking that if I don't like it I'll hold them to their "satisfaction
guaranteed" warranty and give it back. I still have not made any saw dust
with it yet but will say that after assembling it and comparing it with
other saws costing as much as 400.00 more than the 365.00 (I got a retiree
discount) that I paid that it was a real bargain. The only thing that really
disappointed me was the plastic hand wheels which I replaced with cast
aluminum for less than 20.00 and the fact that the extension table was
drilled only for Craftsman and Ryobi routers. I'll probably have it drilled
for my 1601 also.
I also have a Ryobi AP10 planer that's still going strong after aprox 20
years and a 12v Ryobi drill that's probably 12 years old in which one
battery has given up the ship. I purchased a 18v Roybi drill (don't like the
features as well as the old 12v) about a year ago so won't brag on it yet.
RM~

PS, All Craftsman tools beginning with 315. are made by Ryobi.
PS to the PS, I'm going to get a link belt for it also.

I guess we won't know until the deal is done and everything is digested.
Ryobi makes tools to meet a price point. They have good engineering into
them, but they are made to sell for a point that does not allow for the best
materials. I just took a drill apart to replace a switch that died after 16
months. While I think it could have lasted longer, I was impressed with the
total design of the tool.

The Ryobi execs may decide to keep the Delta name and make the best possible
quality. Or not. We can only hope they want to keep Delta as a premium line
rather than just whore the name. IMO, they'd be better off getting rid of
the low end stuff that Delta already has and put the Ryobi products in its
place.

It too have had one of the first AP-10 Planers but have only had it since
1988. It is a good machine but that was then and now is now. Ryobi does
not build em like they usta. IMHO the quality has dropped significantly.

I havn't heard any specific news either, but I do own a (very) little
Pentair stock so I follow the company's corporate news. Pentair buys
and sells companies and gets in and out of businesses on a regular
basis. The direction d'jour seems to be towards building their water
handling businesses (pumps, waste water handling, pool equipment, etc)
and getting away from their tool businesses (of which Delta is only one
of several). Seeing Pentair sell off Delta would not surprise me at all.
